Assistant General Counsel
EDUCATION and/or EXPERIENCE
J.D. from an accredited law school required and admittance into any state bar (willingness to take the Michigan bar if admitted in another state) highly preferred. Applicants must have at least 3 years' experience as a practicing attorney. Preferred candidates will have experience in Indian gaming, commercial contracts, Indian law, and economic development in Indian country.
SUMMARY Under general supervision and direction of the General Counsel, the Assistant General Counsel will assist in providing sound legal guidance to the GTB/EDC businesses. Such work will include research of relevant legislation, court decisions and regulatory procedures; litigation or representation of GTB/EDC in tribal, state and federal courts and agencies; and day to day legal analysis of issues faced by line managers and other members of the GTB/EDC executive team. Incumbent should be able to function as a respected, full member of the EDC business team, while providing necessary legal guidance that will ensure strict adherence to financial, legal, and ethical rules that shape the reputation and culture of GTB/EDC business conduct.
ESSENTIAL DUTIES AND RESPONSIBILITIES
- Drafting of resolutions, motions and memoranda for the General Counsel's review.
- Review, analysis and advice related to Federal, State and Tribal regulations, laws and policies that affect business activities and transactions, and in particular issues germane IGRA, tribal casinos and the hospitality industry.
- Investigation of factual and legal basis for contractual, employment, tort or other claims asserted by, or against the GTB/EDC.
- Review or prepare draft documents, and assist in the negotiation of various contracts.
- Participate in public hearings on Tribal, State and local levels to provide legal viewpoints.
- Recommend litigation actions and appear and serve as trial attorney in the appropriate legal forum as necessary to successfully assert the GTB/EDC's legal rights and position.
- Conduct discovery procedures and prepare reports to assist the EDC in all aspects of regulatory enforcement and defense actions involving the GTB/EDC. Prepare pleadings, interviews and select and prepare witnesses, conducts direct and cross examination, research and briefs legal issues.
- Assist General Counsel in due diligence, filing of mortgages, UCC filings, and releases necessary to consummate or comply with the provisions of GTB/EDC Loan Agreements.
- Assist General Counsel, as assigned, in providing legal guidance and service to Grand Traverse Resort & Spa LLC.
- Review construction contract documents and provide advice regarding adherence to governing laws, including but not limited to zoning, tax assessment, environmental laws, hazardous/toxic materials requirements, and other applicable laws.
- Identify potential conflicts and issues in regard to employment matters; conduct necessary legal research, and recommend solutions.
- Analyze and advise on contract performance or termination problems.
OTHER SKILLS AND ABILITIES
- Must be able to work with all branches of tribal operations, external governmental units, as well as commercial entities and customers of the various EDC businesses.
- Must have a strong commitment to Indian people and the development of tribal-owned enterprises.
- Proficiency with commonly utilized business software.

- Advanced knowledge of applicable law, regulations, rules, procedures, and administration is required.
- Excellent verbal and written communication skills.
- Excellent interpersonal skills with demonstrated patience, tact, and respect.
- Exceptional detail and follow-up skills.
- Able to effectively establish priorities and meet deadlines.
- Current driver's license and an insurable driving record required.
- Other duties as directed or assigned.

While performing the duties of this job, the employee is regularly required to talk or listen. The employee is frequently required to sit. The employee is occasionally required to stand and walk. The employee must occasionally lift and/or move up to 25 pounds.

Must be able to deal effectively with employees, court personnel, and consultants at all levels.
WORKING CONDITIONS
Work is performed in an office setting. Local and out of town travel is to be expected.
COMMENTS
Native American and Tribal Preference will apply. Must be willing and pass a background investigation and a drug and alcohol urinalysis as a condition of employment. Extreme confidentiality must be always adhered to due to access of such private and personal client information.
